The Position and its Scope
This role will support the newly acquired Kimberly-Clark Softex venture, the Kimberly-Clark Professional business in Indonesia, and more broadly its businesses across the Asia Pacific. Responsibilities include:
Provide professional legal advice, legal leadership, strategy, and risk management through knowledge, experience, and help develop compliance systems and processes for all K-C Softex operations and all areas of the business in Indonesia in conjunction with functional and business leaders in the countries and with appointed external legal advisors, where relevant. Ensure that all K-C Softex operations in Indonesia comply with the law in all areas.
Provide and set strategic direction, sound balanced legal advice on a wide range of corporate commercial matters. Oversight for various legal regulatory and government affairs-related matters. Being at the forefront of related policy development in Indonesia relevant to K-C Softex activities. Ability to represent the Company’s point of view through strong advocacy. Ability to provide alternatives when there are regulatory policy barriers to business.
Provide guidance, advice on product developments, and approval on marketing claims and marketing materials in Indonesia.
Review and participate in the negotiation review and approval of material contracts. Proactively ensure compliance in all areas of laws and contractual agreements and have preventive measures in place. Ensure legality of all significant contracts entered into by K-C Softex in particular with regard to third party contractors, distributors, purchasing, employment, compensation, etc, having regard also to Kimberly-Clark’s obligations under the U.S and other cross-jurisdictional laws and regulations, including the Foreign Corrupt Practices Act.
Participate, assist and liaise with corporate functional departments on key technical service fee agreements, professional consultancy/services agreements, licensing, and assignments as well as in dealing with third parties in matters of conflict and settlement.
Contribute towards Risk management through knowledge and experience and developing compliant systems and processes.
Provide support and guidance on local employment-related issues, e.g. termination, severance, mutual separation, outsourcing arrangements, employment templates.
Work with APAC Compliance & Ethics Leader to drive compliance in K-C Softex including driving compliance training and initiatives in Indonesia. Develop and provide training programs for non-legal functions on contractual, intellectual property, marketing law issues, where necessary.
Coordinate and work with regional APAC legal team and corporate legal groups in the global legal function such as the IP COE, Litigation COE, and Employment & Labor COE.
Be actively involved in managing potential litigation and ensure that K-C Softex's interest is protected. Proactively manage litigation early case assessments and dispute resolution. Advice and assist business partners in negotiations with third parties and assist in concluding settlements.
Develop and maintain relationships with relevant external contacts and organizations (e.g. external lawyers, lawyers of key customers/competitors, governmental organizations, regulators, trade and industry associations, external bodies, etc).
Participate in negotiation and advice and be involved in the preparation of documentation for any mergers, disposals, restructures, strategic alliances, acquisitions of companies.
Provide support to supply chain, procurement, and other functional groups.
Reporting : This position reports directly to the VP APAC General Counsel of the APAC region with a dotted line reporting to the President Director of K-C Softex.
Lead : Develop, maintain, continuously improve the legal and compliance programs and policies.
Develop: strategic relationships with business leaders, stakeholders, and employees to understand K-C Softex’s business, spot policy, and political issues impacting the business, provide strategic advice, and anticipate future challenges.
Communicate : Regularly inform senior leaders and stakeholders regarding legal and compliance priorities and efforts in K-C Softex and globally, where necessary.
Qualifications/Experience/Education
Bachelors and/or Master’s Law Degree from a recognized university in Indonesia or a common-law jurisdiction. A track record of academic distinction is preferred.
Admitted as a qualified lawyer in Indonesia.
Requisite experience post qualification in medium or large private practice (law firm) or MNC (in-house), preferably both.
10 years and above experience in the CPG, consumer retail, e-commerce, or manufacturing environments preferred.
Knowledge/Skills/Abilities
Excellent command of both spoken and written English and Bahasa Indonesia.
Experience providing legal counsel on a wide variety of corporate/commercial matters and strong business acumen.
Extensive experience drafting and negotiating agreements.
Initiative and creativity in seeking solutions to problems and passion for continuous improvement.
Ability to work independently, and as part of a diverse multicultural team.
Ability to provide proactive, inspirational leadership to direct reports and identify and support their professional development opportunities.

Strong compliance and commercial experience. FMCG experience will be a plus, but not required.
