Acts as a business partner, consultant & advisor to IDP’s Area Managing Director in setting Strategic Directions of the Area
Acts as a business partner, consultant & advisor to IDP’s Area Managing Director to evaluate realistic opportunities for new self-investments, Mergers & Acquisitions, Joint Ventures or partnerships.
Drives project governance to deliver timely, reliable and accurate proposals of medium to large-scale, complex investments.
Acts as internal consultant on Strategic investment contracts in accordance with Maersk’s investment principles and secure the most favorable terms for the company.
Key Responsibilities
Partner with senior leadership to define and drive long-term strategy and establish multiyear plan of strategic investment priorities
Pro-actively identify, evaluate, develop, and implement strategic investment opportunities which may be via self-investment, Joint Venture, M&A and strategic alliances to accelerate IndoPinas’ inorganic growth ambition.
Develop investment proposals for Strategic Investment opportunities including deal structure design, modelling, valuation, business case development in accordance with APMM investment guidelines and templates.
Manage the commercial negotiation with potential partners / M&A targets according to designed structure and ensure Maersk’s interest is protected at all times.
Develop the project charter, integrated project plan, resource plan, and contingency plan in accordance to project management standards. Communicate with relevant stakeholders on project milestones at agreed timing intervals.
Represent the project and collaborate with relevant internal stakeholders including CEN product team and functional team in order to drive the project process forward and obtain internal approval. This may include government agencies and other external parties that have influence over our Strategic Investments to ensure smooth development and delivery of our projects.
Work with legal and appointed consultants in the conduct of due diligence, drafting of Investment Agreements or Shareholders Agreement, and Articles of Association for new Joint Ventures or Strategic Partnerships (i.e. framework for partnership), or Share Purchase Agreement (SPA) negotiation and execution.
Identify project risks and evaluate trade-offs between project size and complexity, cost, urgency and stakeholder value.
Successful implement new Joint Venture or Partnership in compliance with core assumptions and deal structure used in final approved investment proposal. Ensure that Maersk interest is protected at all times.
Post-merger integration coordination with different business units
Qualifications:
A graduate of Economics, Finance or Accounting with relevant experience from one of the big four accounting firms or consulting offices
A solid experience in strategic investment space like M & A and Joint Ventures, including valuations, designs of deals.
Very good legal understanding of the investment environment in Indonesia and Philippines
Strong project management skills
Excellent stakeholders management (potential partners, consultants, government, and internal)
Good understanding of the logistics market in Asia is a big plus.
